Proofpoint to Acquire Varonis in Massive $6.3 Billion AI Cybersecurity Deal
Proofpoint will acquire Varonis for $6.3 billion cash to combine email, data, and AI security.
Proofpoint, owned by Thoma Bravo, agreed on October 15, 2026 to acquire Varonis Systems for $49.75 per share in cash, a deal valued at $6.3 billion. That is a 52% premium to Varonis’s June 22 close and a 17% premium to its September 1 close. The companies say they will connect email and collaboration security with data-permission and AI-agent access controls, including Varonis AI Shield, for more than 16,000 enterprises. Closing is expected in the first half of 2027, subject to shareholder and regulatory approval.
