Proofpoint Inks $6.3 Billion All-Cash Deal to Acquire Varonis
Proofpoint agreed to buy Varonis for about $6.3 billion cash, 2026's largest announced cybersecurity acquisition.
Proofpoint, owned by Thoma Bravo, agreed to acquire data and AI security firm Varonis for about $6.3 billion in cash, or $49.75 per share, a 52% premium to the June 22, 2026 close. The companies expect the deal to close in the first half of 2027 and will operate independently until then. Varonis sells data discovery, access mapping, and its Atlas AI-security platform; Proofpoint plans a unified data and AI security offering. Earlier in 2026 Proofpoint acquired Acuvity, and Varonis bought AllTrue.ai for $150 million.
