Proofpoint to buy Varonis for $6.3 billion
Proofpoint agreed to acquire data-security company Varonis for approximately $6.3 billion in cash.
Proofpoint, owned by Thoma Bravo, agreed to acquire Varonis Systems for about $6.3 billion in cash. Varonis maps sensitive data and access, while Proofpoint focuses on email phishing and fraud. CEO Sumit Dhawan framed the deal around protecting data from people and AI agents. It follows Proofpoint’s Acuvity and Hornetsecurity deals and Varonis’s $150 million AllTrue.ai purchase, with closing expected in the first half of 2027.
